Terms of Service

Thank you for using Pablo! These terms of service (“Terms”) constitute an agreement between you and Pablo (“we”, “us”, “our”) for the use of our image generation software (“Service”).

Who we are

Pablo is a software company based in Amsterdam, the Netherlands, and registered in the Dutch Chamber of Commerce under 88974227.

Accounts

Minimum age. You must be at least 13 years old or the minimum age required in your country to consent to use the Service. If you are under 18 you must have your parent or legal guardian’s permission to use the Service.

Registration. When you create an account with us, you must provide accurate, complete, and current information. You may not share your account credentials or make your account available to anyone else and are responsible for all activities that occur under your account. If you create an account or use the Service on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.

Using our Service

What you can do. Subject to your compliance with these Terms, you may access and use our Service. In using our Service, you must comply with all applicable laws and policies we make available to you.

What you cannot do. You may not use our Service for any illegal, harmful, or abusive activity. For example, you may not:

  • Use our Service in a way that infringes, misappropriates or violates any applicable laws or anyone’s rights.
  • Modify, copy, lease, sell or distribute (any part of) our Service.
  • Attempt to or assist anyone to reverse engineer, decompile or discover the source code or underlying components of our Service.
  • Automatically or programmatically extract data or Output (defined below).
  • Represent that Output was human-generated when it was not.
  • Interfere with or disrupt our Service, including circumvent any rate limits or restrictions or bypass any protective measures or safety mitigations we put on our Service.

Third party Services. Our Service includes third party images models and may include other third party software, products, or services (“Third Party Services”). Third Party Services are subject to their own terms, and we are not responsible for them.

Content

Your content. You may provide input to the Service (“Input”), and receive output from the Service based on the Input (“Output”). Input and Output are collectively “Content”. You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms. You represent and warrant that you have all rights, licences, and permissions needed to provide Input to our Service.

Ownership of content. As between you and Pablo, and to the extent permitted by applicable law, you (a) retain your ownership rights in Input and (b) own the Output. We hereby assign to you all our right, title, and interest, if any, in and to Output.

Our use of content. We do not use your Content for training purposes. Pablo may however store Output for audit and safety purposes up to a maximum of 5 days.

Subscription

License. The use of the Service requires a subscription (“Subscription”). A Subscription grants you a personal, non transferable license to use the Service.

Term, renewal and cancellation. The initial term of a Subscription is one year. After this term your Subscription will automatically renew for the same term, unless you cancel it or Pablo cancels it. You may cancel your Subscription at any time either through your account or by contacting the Pablo customer support team.

Billing. Subscription fees will be billed in advance. All Subscription fees are exclusive of turnover tax (VAT) and other government levies.

Fees. Up to date Subscription fees can be found on our pricing page.Pablo reserves the right to modify the Subscription fees at any time. Any such changes will apply only (a) to new Subscriptions procured after the changes and (b) to continuing Subscriptions for any renewal term(s) starting after reasonable notice of such changes was provided to give you an opportunity to terminate your Subscription before the new fees take effect or such earlier time as you accept the modified fees.

Image generation fees

We may offer the option to prepay for certain image generation models through the purchase of credits (“Image Credits”).Image Credits represent the amount you have paid in advance for use of image generation using the respective Services. The following extra terms apply to Prepaid Image Credits:

  • Image Credits are not legal tender or currency; are not redeemable, refundable, or exchangeable for any sum of money or monetary value (except where required by law); have no equivalent value in fiat currency; do not act as a substitute for fiat currency; and do not constitute or confer upon you any personal property right. Image Credits are non-transferable and may be used only in connection with the applicable Service for which they were issued.
  • All sales of Services, including sales of prepaid Services, are final. Image Credits are not refundable except where required by law, and expire 24 months after the date of purchase or issuance if not used, unless otherwise specified at the time of purchase.
  • Your available Image Credit balance may be reviewed in your applicable Pablo account. You are solely responsible for verifying that the proper amount of Image Credits has been added to or deducted from your balance. Your Image Credit balance is not a bank account, digital wallet, stored value account, or other payment device.
  • We may also offer Image Credits free of charge as part of a promotional program rather than for purchase (“Promo Image Credits”). Promo Image Credits will not be applied against any sales, use, gross receipts, or similar transaction based taxes that may be applicable to you.
  • We prohibit and do not recognize any purported transfers, sales, gifts, or trades of Image Credits. Evidence of any attempt to use, sell, or transfer Image Credits in any manner violates these Terms and may result in revocation, termination, or cancellation of the Image Credits and/or your use of the Services without refund and/or immediate suspension or termination of your account.

Refunds

Unless required by law, paid Subscription fees and Image Credits are non-refundable.

Our Intellectual Property

Notwithstanding the rights to your Content (as described in these Terms), we and our affiliates and licensors own all rights, title, and interest in and to the Service.

Termination

We may suspend or terminate your use of the Service (including your account), or your Image Credit balance at any time, with or without prior notice, for any reason permitted under these Terms and in compliance with applicable law. Upon termination, your right to use the Service will immediately cease.

Limitation Of Liability

Pablo shall not be liable to you in respect of any damages, including without limitation, loss of profits, data, anticipated savings, revenue, income, business, contracts, opportunities, goodwill or any special, indirect or consequential loss or damages. This limitation of liability does not apply in the event and to the extent that the damages are a direct result of a deliberate act or conscious recklessness on the part of Pablo.

Warranties and indemnification

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind to the maximum extent permitted by applicable law.

You will indemnify us against all damages finally awarded against us, our affiliates and subcontractors (or the amount of any settlement you entered into) with respect to claims brought against us or our affiliates and subcontractors by any third party related to your use of the Service to the extent permitted by law.

Changes

We reserve the right to modify these Terms at any time. Any such changes will take effect after reasonable notice of such changes was provided or such earlier time as you accept the modified Terms.

Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any dispute arising out of or in connection with this Agreement, including any question regarding their existence, validity or termination, shall be referred exclusively to the competent courts of Amsterdam, the Netherlands.

Miscellaneous

These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
